Terms of Service

1. Accounts, Subscriptions and Billing

To use certain features, you must purchase a subscription. By providing a payment method, you authorize us (and our third-party payment processor, Stripe) to charge the applicable subscription fees, including any applicable taxes.

• Free Trials & Promotions: We may offer free trials for new users. We reserve the right to instantly revoke any trial and terminate accounts if we suspect abuse or fraud (e.g., creating multiple accounts to continually bypass trial limits).
• Auto-Renewal: Subscriptions automatically renew at the end of each billing cycle unless you cancel them before the renewal date.
• No Refunds: All payments are non-refundable unless otherwise required by applicable consumer law. We do not provide refunds or credits for partially used billing periods.
• Cancellations: You can cancel your subscription at any time using the link provided in your email receipt, or by contacting our support team. You will retain access to the paid features until the end of your current billing cycle.

2. License and Intellectual Property

The Services, including the extension's code, design, logos, and features, are the exclusive property of Mentorsko Ltd.. We grant you a limited, personal, non-exclusive, non-transferable, and revocable license to use the Services for your personal or internal business purposes.

• You may not reverse-engineer, decompile, disassemble, or attempt to extract the source code of our software.
• You may not lease, sell, resell, or distribute any part of the Services.
• You may not use our branding or logos without our prior written consent.
• Feedback: If you send us ideas, suggestions, or feature requests ("Feedback"), you grant us a perpetual, irrevocable, royalty-free, worldwide license to use and implement that Feedback without any obligation or compensation to you.

3. Acceptable Use & Third-Party Platforms

The SoftKivo extensions act solely as a local, user-directed technical tool running in your browser. You are the independent and sole initiator of all actions performed. When interacting with third-party platforms (like Instagram or other social networks), you acknowledge and agree that:

• You will use the Services in compliance with all applicable laws and the respective terms of service of the third-party platforms.
• Sole Responsibility for Actions & Penalties: Any technical, legal, or financial measures taken by third-party companies against you (including account suspension, IP bans, cease-and-desist letters, financial claims, or lawsuits) as a direct or indirect result of using our extensions are entirely your responsibility and at your own expense.
• No Responsibility: We do not act as your agent, and we are not a party to your relationship with any third-party platform. You use the Services autonomously and assume 100% of the risk. Under no circumstances will we be held liable for any loss of social media accounts, blocked profiles, deleted content, drop in engagement, or loss of profits that may occur as a result of using the extension.
• You will not use the Services for spamming, harassment, illegal activities, or spreading malicious software.

4. Disclaimer of Warranties

We do not guarantee that the Services will be uninterrupted, error-free, or completely secure. We cannot guarantee that third-party platforms (such as Instagram or others) will not change their algorithms, APIs, or website structure, which may temporarily or permanently break the functionality of our extension.

YOU EXPRESSLY ACKNOWLEDGE THAT USING AUTOMATION TOOLS MAY VIOLATE THE TERMS OF SERVICE OF THIRD-PARTY PLATFORMS AND CAN RESULT IN TEMPORARY OR PERMANENT PLATFORM ACCOUNT BANS. YOU USE THE SERVICES AT YOUR OWN SOLE RISK.

5. Limitation of Liability

To the maximum extent permitted by law, in no event shall Mentorsko Ltd., its directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, loss of data, loss of social media accounts, loss of followers, loss of income, revenue, business interruption, or goodwill, arising out of your access to or use of (or inability to access or use) the Services, or any third-party platform actions against your account. Our total liability to you for all claims arising out of or related to these Terms or the Services will not exceed the amount you paid us in the twelve (12) months preceding the claim, or $50 USD, whichever is strictly greater.

6. Indemnification

You agree to defend, indemnify, and hold harmless Mentorsko Ltd. and its team from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) resulting from your violation of these Terms, your use of the Services, or your violation of any third-party platform rules.

7. Termination and Suspension

We reserve the right to suspend or terminate your access to the Services at any time, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Services will cease immediately.

8. Modifications to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms.

9. Governing Law, Arbitration, and Class Action Waiver

These Terms shall be governed by and construed in accordance with the laws of Bulgaria, without regard to its conflict of law provisions.

• Informal Resolution: You agree to initially attempt to resolve disputes informally by contacting our legal team.
• Arbitration: To the maximum extent permitted by applicable law, any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, shall be determined by binding arbitration rather than in court.
• Class Action Waiver: You and Mentorsko Ltd. agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You expressly waive any right to bring or participate in a class-action lawsuit or class-wide arbitration.

10. Miscellaneous Provisions

• Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.
• Force Majeure: We shall not be liable for any failure to perform our obligations where such failure results from any cause beyond our reasonable control, including third-party platform updates or outages.
• Time Limitation on Claims: You agree that any claim or cause of action arising out of or related to the use of the Services must be filed within one (1) year after such claim arose or be forever barred.

11. Independent Service & Trademarks

SoftKivo extensions is an independent third-party software application. We are not affiliated with, endorsed by, funded by, or officially associated with Instagram, Meta Platforms, Inc., Google, or any other social media platform or third-party entity. All registered trademarks, logos, and brand names belong to their respective owners.
